Update on OFNTSC's Board Committees

As part of our ongoing commitment to remain accountable and transparent to our stakeholders, we provide an update on our recently established Board committees.

Common, modern Board Committees established

To improve oversight of the organization, we have implemented modern board committees to ensure good governance, strong financial management and ongoing accountability to First Nations in Ontario.

Governance and Nominating Committee

The Governance and Nominating Committee’s primary purpose is to advise the Board in fulfilling its oversight responsibilities with respect to identifying qualified candidates and recommending nominees for Director and Officer appointments, evaluating the Board, Board Committees, Committee Chairs, and individual Directors with a view to ensuring OFNTSC is “leading edge” in implementing best-in-class governance practices.

Human Resources and Compensation Committee

The Human Resources and Compensation Committee’s primary purpose is to advise the Board in fulfilling its oversight responsibilities with respect to human resources including key compensation, human resources and compliance oversight responsibilities.

Audit and Risk Committee

The Audit and Risk Committee’s primary purpose is to advise the Board in fulfilling its oversight responsibilities with respect to financial policies, risk management and strategies, transactions or circumstances which could materially affect the financial profile of OFNTSC, the integrity of financial statements to be provided to Members and regulatory bodies, compliance with accounting and finance-based legal and regulatory requirements, the External Auditor’s qualifications and independence, the system of internal accounting and financial reporting controls that Management has established, and performance of the audit process and of the External Auditor.

Business Transformation and Technology Committee

The Business Transformation and Technology Committee’s primary purpose is to advise the Board of Directors and Executive Director, on medium and long-term technology-related issues, risks, opportunities, and services.

Technical Advisory Committee (TAC)
This committee is made up of technical experts who play a key role in the new governance structure. It provides a forum for sharing insights and advice on emerging technologies, technical challenges, technical services and opportunities. The TAC is critical to providing advice and insights on new OFNTSC initiatives and services.

Leadership Advisory Committee (LAC) In Progress
Engaging with First Nations, funders and political organizations is key to the success of OFNTSC and its mission to serve our stakeholders. This committee will be made up of experienced leaders who can provide insights on how to best engage with these organizations, while also providing advice on important decisions and investments. This committee is in the process of being established, and will be finalized in summer 2021.
